Founding and Partner Program Terms

These terms govern the BizInnaBox Founding Program (the "First 100") and the referral partner arrangement that comes with it. They are between you (the "Partner") and Damon Washington, sole proprietor (unregistered business) (doing business as BizInnaBox).

This is a draft template maintained by the product team. It has not been reviewed or approved by a lawyer and is not legal advice.

This section states general legal terms for the service. It is information about how BizInnaBox operates, not legal advice.

Who can take part

• Participation is by invitation from the BizInnaBox team and may be declined or withdrawn.
• A Partner must operate a real business and use the product in good faith.
• One partner arrangement exists per workspace.
• Partners must accept the current version of these terms before any payment is issued.

Founding benefits

Founding businesses receive promotional access to paid features for the period stated in their invitation. Promotional access is a courtesy, not a permanent entitlement, and we will tell you before it changes.

Referrals and attribution

• Each Partner receives a stable referral code and link.
• The first valid code seen by a new visitor is the one credited, for 30 days from first touch.
• Only one Partner is ever credited for a referred business.
• Referring your own business, or a business you control, earns nothing.
• Invalid or unknown codes are ignored, and credit cannot be claimed after the fact.

How commission is earned

Commission terms — the amount or percentage, how many payments qualify, and the holding period — are set out in the commission policy published to Partners. The rate that applies to a commission is the rate in force on the day it was earned; later changes never alter a commission already recorded.

A commission is earned only when a referred business makes a verified payment for a paid subscription. Failed, refunded, disputed or zero-value payments earn nothing.

Holding period, refunds and reversals

• Every commission is held for the period stated in the commission policy before it can be paid.
• If the qualifying payment is refunded or disputed before payment, the commission is voided.
• If it is refunded after payment, the amount becomes recoverable and may be offset against future payouts.
• Cancellation of a subscription alone does not remove a commission that was properly earned.

Payouts

• Payouts are grouped into batches and settled manually while the program is new.
• Payments are made only to Partners who have accepted the current version of these terms.
• We do not hold bank credentials; payment details are exchanged directly at the time of settlement.
• You are responsible for any taxes arising from amounts you receive.

How you may promote the program

• Describe the product honestly and never guarantee outcomes on our behalf.
• No spam, no unsolicited bulk messaging, no paid search on our brand terms, and no misleading claims.
• No incentivising sign-ups that are not genuine businesses.
• We may withhold or reverse commissions arising from activity that breaks these rules.

Changes to these terms

We may publish a new version of these terms. Your previous acceptance stays on record as history, and you will be asked to accept the new version before any further payout is issued. Commissions already paid are unaffected.

Ending participation

Either side may end participation at any time. Commissions already earned and not reversed remain payable, subject to acceptance of the current terms.
